Tasks, Powers and Responsibilities

Formation

All members of ANGIAD under the age of 49 are natural members of the General Assembly and can vote in the General Assembly if they do not have membership fee debts.

Basic Tasks

The General Assembly performs the duties assigned to it in accordance with the Rules of the Ankara Young Businessmen Association under the supervision of the Council to be elected, in accordance with the following principles.

Meeting Activities

The General Assembly normally convenes in January every year. However, it may also convene extraordinarily when deemed necessary by the Board of Directors and Supervisory Board or upon the written request of one-fifth of the registered members of the association. In the General Assembly, each member has one vote. The member uses his vote by quorum himself. Members and honorary members who do not pay their dues until one month before the meeting day are not taken into account in the meeting quorum and cannot vote. They can only attend the meeting as listeners and make wishes and requests.

Procedure of Call to Meeting

Members who have the right to attend the General Assembly are invited to the meeting at least fifteen days in advance, by announcing the day, time, place and agenda in a newspaper or by notifying them in writing or by e-mail. In this call, if the meeting cannot be held due to the lack of a quorum, the day, time and place of the second meeting is also specified. The period between the first meeting and the second meeting cannot be less than seven days and more than sixty days. If the meeting is postponed for any reason other than the lack of quorum, this situation is announced to the members in accordance with the call procedure for the first meeting, including the reasons for the postponement. The second meeting must be held within two months at the latest from the date of adjournment. Members are called back to the second meeting in accordance with the principles specified in the first paragraph. Upon the written request of the Supervisory Board or one-fifth of the members of the association, the Board of Directors calls the General Assembly for a meeting within one month. In the General Assembly, only the items on the agenda are discussed. However, the items requested to be discussed by at least one tenth of the members present at the meeting must be included in the agenda. The general assembly meeting cannot be postponed more than once.

Minimum Number for Meeting

The General Assembly convenes with the attendance of one more than half of the members who have the right to attend the General Assembly according to the association’s rules. If this majority cannot be achieved, the number of members attending the second meeting cannot be less than twice the total number of the principal members of the Board of Directors of the Association and Auditors.

Power and Responsibility

General Assembly is the highest level of authority and decision-making authority in the Association, and the subjects to be discussed in the General Assembly are as follows:

  • Election of the bodies of the Association,
  • Changing the rules of the Association,
  • Discussing the reports of the Board of Directors and the Supervisory Board, acquitting the Board of Directors and the Supervisory Board,
  • Discussing and accepting the budget prepared by the Board of Directors as it is or by changing it,
  • Authorizing the Board of Directors to purchase immovable properties required for the association or to sell existing immovable properties,
  • Discussion on whether the Association joins or leaves the federation, deciding to open branches, electing the number of representatives determined in the rules of the federation to which it will join, in case of joining the federation,
  • The Association’s international activities, joining or leaving associations or organizations abroad to which the Association is a member,
  • Dissolution of the Association.

All members of ANGIAD under the age of 49 are natural members of the General Assembly.

Description of the Task, Power and Responsibilities of the General Assembly and Formation

General Assembly

ANGIAD, Ankara Young Business Person’s Association, consists of 11 permanent and 11 substitute members to be elected by the General Assembly among the permanent members of the Association in accordance with the principles of the rules.

At its first meeting, the Board of Directors elects the members among themselves who are responsible for the commissions which are comprised of one President, four Vice Presidents, one Secretary General, one Treasurer and members of the commission. The President represents the Association. The President may delegate his power of signature the Secretary General in certain matters. The Board of Directors convenes at least three times a month with one more than half of the total number of members of the Board of Directors. The Board of Directors will always meet on the same day, on a day to be determined at its first meeting. Decisions are taken by majority of votes. In case of equality of votes, the vote of the chairman counts as two. A member who does not attend three meetings without a valid excuse is deemed to have resigned from the Board of Directors automatically. The next substitute member is taken in his place.

Membership of the Board of Directors is for a maximum of 2 terms. A member who has been a member of the Board of Directors for 2 terms can only be a candidate for president in the 3rd term. The aim is to provide opportunities for other members and to ensure broad-based participation.

Basic Tasks

To perform the duties assigned to it in accordance with the Ankara Young Businessmen Association Rules under the supervision of the Council to be elected and to implement the activities of the Association.

Powers and Responsibilities

  • To represent the Association or to authorize one or more of its members in this regard.
  • To determine the working method of the Board of Directors and affiliated commissions by a directive.
  • To make the transactions regarding the income and expense accounts of the Association, to prepare the budget for the next period and present it to the General Assembly, to give importance to saving in expenditures.
  • To perform domestic and international visits in order to realize the objectives of the Association,
  • To request the Disciplinary Board to examine the status of a member who behaves contrary to the purposes of the Rules of the Association and the decisions of the General Assembly and the Board of Directors, to give a disciplinary punishment in the form of warning and reprimand or dismiss from the membership by evaluating the report provided by the Disciplinary Board
  • To call the High Advisory Board to a meeting on issues it deems necessary and to request it to express its opinion.
  • To carry out the other works and to use the power given to it by the Rules of the Association and the legislation.
  • To find sponsors for organizations to be held on issues related to their field of activity,
  • It is recommended to take the opinion of all relevant commissions, especially the Legal Commission, while carrying out the activities of the Board of Directors.

Criteria for Qualifications

  • To be in an age ranging between 18 and 42 years. In order to benefit from the experience of the 42-49 age group, the member is expected to continue his active duty in the High Advisory Board and for the members over the age of 49 as honorary members of the Association.
  • Knowledge of at least one foreign language is recommended.
  • It is preferred to have taken part in Commissions of the Association earlier.
